If you're a non-resident looking to set up a company in Moldova, here's what you need to know.
1. Foreigners may fully own a company in Moldova
Moldovan law imposes no citizenship or residency requirements for company ownership. Any foreign individual or legal entity may hold 100% of the share capital of a Moldovan company.
Foreign founders may also act as company administrators (directors). For remote management and interaction with public authorities, the administrator must obtain a qualified electronic signature recognized by Moldovan authorities.
Importantly, the entire incorporation process can be completed remotely, without the need to travel to Moldova.
2. The preferred legal form: LLC (SRL)
The most commonly used legal form for startups and small-to-medium enterprises is the Limited Liability Company (Societate cu Răspundere Limitată – SRL).

- Minimum share capital of only 1 MDL (less than 1 EUR)
- Simple corporate governance structure
- Flexibility in ownership and management arrangement
3. You’ll need a Moldovan electronic signature
To sign documents and interact with authorities remotely, you must obtain a qualified electronic signature accepted by the Moldovan state. It can be issued based on your foreign passport or ID and it is used to submit tax filings and official declarations and to communicate with public institutions.
4. Main steps of company incorporation (fully remote)
a) Name reservation – typically, 2–3 alternative names may be proposed.
b) Filing the incorporation documents – the articles of association, statutory declarations, and registration forms are submitted electronically to the Public Services Agency.
c) Payment of state fee – approx. 100 EUR with a standard processing time of 24 hours.
d) Receiving the registration certificate and company's identification number (IDNO).
Once registered, the company may immediately open a corporate bank account, conclude contracts, hire employees, and commence business operations.
5. What comes next?
Following incorporation, several post-registration formalities should be addressed:
- Tax registration and accounting setup
- Obtaining an electronic signature for the administrator (if not already issued)
- Opening a corporate bank account
- Applying for special tax regimes, such as the Moldova Innovation Technology Park (MITP) for IT companies, which offers a 7% flat tax on turnover
